YC and Techstars deal terms compared for 2026

Y Combinator's standard deal is $500,000 on two SAFEs. Techstars now invests US$220,000 per company and is rebuilding its Toronto program. Here is how each offer works and what to compare.

Accelerator offers look similar from a distance. The structures differ, and the differences show up in dilution and later rounds. This piece sets out the published terms for Y Combinator and the most recent reported terms for Techstars, which announced plans in January 2026 to relaunch its Toronto program.

Y Combinator standard deal of $500,000 on two SAFEs

YC invests $500,000 in every company it accepts. The money goes in on two instruments signed at the same time:

  • $125,000 on a post-money SAFE for 7% of the company.
  • $375,000 on an uncapped SAFE with a most-favoured-nation (MFN) provision.

The MFN SAFE converts on the terms of the lowest-cap SAFE (or other most favourable terms) the company issues between roughly the start of the batch and its priced round. YC gives an example. If the company later raises SAFEs at a $15M post-money cap, the $375,000 converts into 2.5% of the company.

YC also takes a pro rata right to invest in later rounds. It states that it charges no fees to participate and avoids terms such as enhanced returns in downside exits. YC commits to the investment on the day a company is accepted, with no milestones attached.

YC eligibility for Canadian companies

YC invests in corporations formed in the US, Canada, the Cayman Islands and Singapore. A Canadian corporation does not need to flip to a US parent to receive YC's investment. Companies incorporated elsewhere must restructure under a parent in one of those four places.

Techstars at US$220,000 per company

According to BetaKit, Techstars has invested US$220,000 per company since 2025, up from US$120,000. BetaKit puts that at about CAD $305,000. Techstars takes an equity stake and runs three-month programs in more than 30 cities. BetaKit's report does not state the equity percentage, and founders should confirm current terms directly with Techstars.

Techstars Toronto relaunch

Techstars Toronto paused programming about two years before the January 2026 announcement. Its rebuilt board told BetaKit it was reviewing managing director candidates and completing fund formation. The revived program will be financed by Techstars' global platform and a group of local limited partners. Board member Matt McGowan described the main change as a move to homegrown leadership and governance. Since its 2017 launch, Techstars Toronto has backed companies including Fable, Inkblot and Cinchy, and it marked 100 direct investments in 2023.

How to compare accelerator offers

Cash and headline equity are only two inputs. Founders should model the full picture before choosing:

  • Effective dilution after conversion. An uncapped MFN SAFE has no fixed percentage on day one. Model it against the cap you expect to raise at next.
  • Fees. YC notes that some programs charge fees. Deduct them from the investment when comparing.
  • Pro rata rights. These affect how much room is left for new investors in your next round.
  • Jurisdiction. Confirm whether your current corporation qualifies or whether you need to restructure.
  • Program location and timing. A local program reduces relocation cost. A Bay Area program gives direct access to US investors.

Founder takeaways

Read the actual documents, not summaries. Build a simple cap table that shows ownership after your next priced round under two or three valuation scenarios. Ask each program for its standard agreements before you interview. A Canadian lawyer can confirm how a US-style instrument applies to your Canadian corporation.
